Terms of Service
These Terms of Service form a legally binding agreement between you and mintus. Please read them carefully. If you do not agree, do not use the Services. They contain important provisions concerning your eligibility, the nature of the tokens issued through the Services, on-chain risks, dispute resolution and limitations of liability.
1. Acceptance of the Terms
By accessing or using any of the Services you agree to be bound by these Terms of Service (the "Terms"), our Privacy Policy, our Cookie Policy, our Acceptable Use Policy, the End User License Agreement and any additional terms we present at the time of using a specific feature. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Definitions
- "mintus", "we", "us" means the entity operating the Services described in our Privacy Policy.
- "Services" means the mintus Wallet, the mintus Cashier app, the Enterprise Console, this website, our APIs and any related software, content and support.
- "Merchant" means an individual or organisation using the Services to issue, distribute, manage or redeem Vouchers.
- "Consumer" means an individual user of the mintus Wallet.
- "Voucher" means an electronic, blockchain-recorded representation of a Merchant's obligation to provide goods, stored value, services or discounts to the holder.
- "DID" means a decentralized identifier and the associated cryptographic key material maintained on your behalf through the Services.
3. Eligibility and account registration
To use the Services you must:
- be at least the age of legal majority in your jurisdiction (and in no event less than 13 years old, or the higher minimum age applicable under local law);
- not be subject to international sanctions or located in a jurisdiction that prohibits blockchain-based voucher products;
- not be barred from receiving the Services under any applicable law.
You agree to provide accurate information at registration and to keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account.
4. The Services
The Services let Merchants issue and manage Vouchers, and let Consumers receive, transfer, store and redeem Vouchers. Detail of features is described on the relevant product pages and may change over time as we improve the Services.
5. Vouchers — utility, no investment, no securities
Vouchers are utility tokens. They represent the issuing Merchant's commercial obligation to provide goods, services, stored value or discounts, and have value because (and only because) the issuing Merchant honours that obligation.
Vouchers are not:
- securities, investment contracts, derivatives, e-money, deposits or any other regulated financial instrument;
- a claim against mintus (they are claims against the issuing Merchant);
- designed or marketed as a means of generating financial return or speculative profit;
- fungible across Merchants — a Voucher is honoured only by the Merchant that issued it (or any redemption partners it explicitly designates).
The market value of a Voucher between Consumers (if peer-to-peer transferable) is a private matter between the parties and is not endorsed, guaranteed or stabilized by mintus. mintus does not operate an exchange and does not facilitate trading of Vouchers as investments. See also our Disclaimer.
6. Merchant-specific terms
If you are a Merchant, you additionally agree that:
- you are solely responsible for the lawfulness of the Vouchers you issue, including their stated terms (expiry, redemption rules, transferability) and your compliance with consumer protection, gift-card, stored-value and tax laws in the jurisdictions in which you operate;
- you will honour Vouchers in accordance with their stated terms;
- you will provide your Consumers with a clear, accessible refund and dispute process and will deal with their complaints in good faith;
- you will not use the Services to facilitate money laundering, terrorist financing, sanctions evasion, fraud or any activity prohibited by our Acceptable Use Policy;
- you act as an independent controller of the personal data of your Consumers (see our Privacy Policy).
7. Consumer-specific terms
If you are a Consumer, you understand and agree that:
- each Voucher you receive is a claim against the issuing Merchant — mintus does not stand behind the Merchant's commercial promise, and your remedies on a defective Voucher lie primarily against the Merchant;
- where the Merchant marked a Voucher as transferable, you may transfer it freely; where the Merchant marked it as non-transferable, the smart contract enforces that restriction;
- expiry, scope of use and redemption rules of each Voucher are determined by the Merchant at issuance, and you should review them before accepting or transferring.
8. Fees
The Services may be provided for free or for a fee, depending on usage and tier. Applicable fees are displayed inside the Services before you incur them. Taxes are your responsibility unless we are required to collect them on your behalf. We may change our fees on prospective notice; continued use after the change becomes effective constitutes acceptance.
9. Licence grant
Subject to your compliance with these Terms, mintus grants you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. The licence does not include any right to (a) sub-license, resell or lease the Services; (b) modify, decompile or reverse-engineer the Services except to the extent permitted by mandatory law; or (c) use the Services to build a competing product.
10. User content
You retain ownership of any content you submit through the Services (e.g. Voucher artwork uploaded as a Merchant, profile fields, communications). You grant mintus a worldwide, non-exclusive, royalty-free licence to host, copy, transmit and display that content solely for the purpose of providing the Services and performing this contract. You represent that you have all rights necessary to submit your content and to grant this licence.
11. Prohibited uses
You must not use the Services for any unlawful, harmful, fraudulent or abusive purpose. See our Acceptable Use Policy for the detailed list. Examples include circumventing security measures, scraping at scale, transmitting malware, infringing intellectual property and engaging in money laundering.
12. Blockchain and on-chain risks
You acknowledge and accept that the Services rely on a public blockchain and that:
- transactions are typically irreversible once confirmed;
- the underlying blockchain may experience downtime, forks, congestion, governance changes, smart-contract bugs, oracle failures and other technical incidents outside our control;
- a Voucher you transfer to a wrong recipient cannot be retrieved by us — recovery depends on the willingness of the recipient to return it;
- loss of your credentials may, in some recovery paths, result in permanent loss of access. We strongly recommend that you set up recovery information and keep it current.
13. Third-party services
The Services may interoperate with third-party services (operating systems, app stores, payment processors, identity verifiers). Those services are governed by their own terms. We are not responsible for their availability, performance or content.
14. Intellectual property
All rights, title and interest in and to the Services (excluding your content) are owned by mintus or its licensors. Nothing in these Terms transfers ownership to you. The names mintus, the mintus logo and other product names are trademarks of mintus.
15. Suspension and termination
We may suspend or terminate your access to the Services if you breach these Terms or applicable law, if a competent authority requires us to do so, or if we reasonably believe such action is necessary to protect the Services or other users. You may stop using the Services at any time; see our Account Deletion page for how to delete your account. Sections that by their nature should survive termination (including §§5, 11–14 and 16–22) will survive.
16. Disclaimers and warranty disclaimer
To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or quiet enjoyment. We do not warrant uninterrupted, error-free or secure operation. Nothing in this section limits or excludes warranties that cannot be excluded under applicable law (in particular consumer-protection law).
17. Limitation of liability
To the maximum extent permitted by law, mintus and its affiliates will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, goodwill, data, use or business opportunity, arising out of or in connection with these Terms or the Services, whether based on contract, tort (including negligence) or any other legal theory, and whether or not we have been advised of the possibility of such damages.
Subject to the foregoing, our total aggregate liability arising out of or in connection with these Terms or the Services will not exceed the greater of (a) the amount you paid to us in the twelve months immediately preceding the event giving rise to the claim or (b) USD 100.
Nothing in this section limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or under any non-excludable consumer protection law (in particular, the EU Sale of Goods and Consumer Rights Directives and equivalent national implementations).
18. Indemnification
You agree to indemnify and hold harmless mintus and its affiliates, officers, employees and agents from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to (a) your breach of these Terms or applicable law; (b) your use of the Services in violation of these Terms; or (c) your infringement of any third-party right. This section does not apply to the extent the underlying claim arises from our own wrongful act.
19. Governing law and dispute resolution
Except where mandatory local law requires otherwise (in particular, where you are a consumer ordinarily resident in the EEA, the UK, Switzerland or another jurisdiction that grants you mandatory protective rights), these Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. Disputes will be resolved exclusively by the courts of Singapore, save that we may bring an action for injunctive relief in any court of competent jurisdiction.
If you are a consumer in the EEA, the UK, Switzerland or any other jurisdiction that grants you mandatory rights, nothing in this section deprives you of the protection of those mandatory rules or of the right to bring an action in the courts of your country of residence.
The European Commission operates an online dispute-resolution platform available at ec.europa.eu/consumers/odr. We do not commit to using alternative dispute resolution for individual disputes, but we will engage in good faith with any complaint addressed to legal@mintus.world.
20. Changes to the Terms
We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date and, where required by law, give prominent notice (in-app banner, email or both) before the change takes effect. Your continued use of the Services after the changes take effect constitutes acceptance.
21. Miscellaneous
- Entire agreement. These Terms, together with the documents referenced in them, constitute the entire agreement between you and us regarding the Services.
- Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a reorganisation or sale of our business.
- No agency. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and us.
- Force majeure. We are not liable for delay or failure to perform caused by events outside our reasonable control, including network outages, blockchain incidents, natural disasters and acts of public authority.
- Notices. We send notices via the email address associated with your account or via in-app message. You may send notices to legal@mintus.world.
